M&A contract review

Every acquired contract, read and ready for Day 1.

Upload the target company's contracts and Questr's AI reads each one. It answers the questions a deal team needs, such as change of control, assignment, termination rights and remaining cost by year, and gives the quote and page behind every answer. Then plan consents, notices and the Day 1 move into your live contracts.

  • Up to 1,000 contracts per batch
  • A quote and page for every answer
  • Consents, deadlines and Day 1

Why it matters

Review by exception, not by reading everything.

Each answer carries a confidence level. Low-confidence answers, high-value contracts and contracts that need consent are queued for a person to check. A person's correction always wins over the AI's answer, and both are kept.

AI review

The questions a deal team asks, answered with evidence.

Upload folders, files or zip archives, and repeat uploads are caught. AI reads each contract for its supplier, dates, value, assignment and change-of-control terms, termination rights and fees, auto-renewal, exclusivity, liability cap, data handling and remaining cost by calendar year. Add up to ten questions of your own.

  • A quote, page and confidence level for every answer
  • Remaining cost by year, split into fixed and estimated
  • Ask questions across the whole deal's answers
Decisions & letters

Decide, then send the right letter on time.

Mark each contract to transfer, repaper, terminate, retain or cover under a transition services agreement. Questr works out which consent requests and notices are needed, drafts the letters, and tracks notice deadlines with reminders before each one is missed.

  • Consent requests and termination notices drafted per supplier
  • Notice deadlines with reminders at 14, 7, 1 and 0 days
  • Overlap with suppliers and contracts you already have
Day 1

From deal room to live contracts.

Hand contracts to procurement, legal, risk, project or vendor management teams, by name or to their queue. A readiness board shows what each contract is still waiting on. On Day 1, the contracts you decided to keep move into your live contract records with their reviewed terms and documents.

  • Team handoffs that each team can pick up, complete or return
  • A Day 1 readiness board by contract, team and supplier
  • Bulk migration into live contracts, with suppliers matched

Questions

Frequently asked questions.

Is Questr a virtual data room?

No. Questr reviews and acts on the target company's contracts: it extracts their terms, supports decisions, drafts consents and notices, and migrates contracts on Day 1. It is not a document-sharing data room for the wider deal.

How do we know the AI's answers are right?

Every answer shows the quote and page it came from, with a confidence level. Low-confidence answers, high-value contracts and contracts that need consent are queued for a person to confirm, and corrections are kept alongside the AI's original answer.

How many contracts can be reviewed?

A deal is planned around 1,000 documents per batch, and larger deals run in further batches. The review continues in the background, and anyone with access can follow its progress.
